TERMS AND CONDITIONS

These Terms and Conditions reflect the way the SeeNews website seenews.com (“the Service”) works, how Subscribers access and use content provided through the Service, the laws that apply to the provider of the Service, and other conditions related to the Service. These Terms and Conditions in accordance with the most recent version shall apply to all subscribers to the Service who have created accounts to access and use the Service and to all visitors to the Service website.
I. INTRODUCTION
SeeNews is a business information provider, with the website seenews.com serving as the platform where the Service publishes various type of content, including but not only proprietary news articles, interviews, overviews, comments and partner content, company data, charts, rankings and macroeconomic and industry reports. SeeNews is a brand of SeeNext EOOD, a company incorporated under the laws of Bulgaria and having its seat and registered address at 117 Hristo Botev Blvd., 1303 Sofia, Bulgaria, UIC 203164213, VAT registered (“Provider”). Everybody creating an account via the sign-up (registration) and subscription forms on seenews.com or a visitor to the Service website who is only browsing around accepts these Terms and Conditions. By accepting the Terms and Conditions, the Subscriber confirms that he/she is 18 years of age or older and that the Subscriber is entitled and authorised to enter into contracts on his/her behalf as an individual or on behalf of the legal entity which he/she represents (e.g., business, educational institution, organisation and the like). The Subscriber further warrants that the information that he/she has provided through the registration/subscription process is true and accurate.
II. DEFINITIONS
a. “Information resources” mean various type of content published on seenews.com, including but not only proprietary news articles, interviews, overviews, comments and partner content, company data, charts, rankings and macroeconomic and industry reports;
b. “Registration Form” means the electronic registration form completed by the Subscriber for the purposes of his/her registration or of the registration of the company, organisation, or the legal entity he/she is representing, for the Services subject to the terms and conditions of this Agreement;
c. “SeeNews” is the business information provider, with the website seenews.com serving as the platform where the Service publishes various type of content;
d. “Service” means the SeeNews website – seenews.com;
e. “Subscriber” means everybody, either an individual acting on behalf of him/herself or acting on behalf of a company, organisation or other legal entity, creating an account via the sign-up (registration) and subscription forms on seenews.com, and entering into this Agreement.
f. “Subscription plan” is the subscription plan for the Service chosen by the Subscriber for the subscription term for the Services as evidenced by the Subscriber’s subscription confirmation and this Agreement, which may include limitations on the number and type of Information resources allowed to be accessed via the Service;
g. “Terms and Conditions” are the Agreement between the Provider and a Subscriber to the Service;
h. “User account” means a user profile and credentials to access the Service that has accepted these Terms and Conditions and is the digital representation of an individual person.
III. SUBJECT
Art. 1 (1) Grant of Licence. The Provider hereby grants to the Subscriber, and the Subscriber hereby accepts from the Provider, a non-exclusive, non-transferable, limited right and licence to access the Information resources at seenews.com, which may change from time to time. The Provider may restrict access to certain /Information resources at any time. Except as otherwise provided with respect to certain Information resources on the Service, the licence includes the right to download and temporarily store insubstantial portions of the Information resources for internal and non-commercial use only to a storage device under the Subscriber’s exclusive control (i) to display internally such Information resources and (ii) to quote from the Information resources (appropriately cited and credited) in work products created in the regular course of research and work. The Subscriber may also create printouts of the Information resources for internal use.
(2) Limitations. The Subscriber may not copy, download, store, publish, transmit, transfer, sell or use any part of the Service’s Information resources except with the Provider’s prior written permission. The Service’s Information resources may not be stored in an archival or other searchable database.
(3) Rights in Information resources. Except for the licence granted in these Terms and Conditions, all rights, title and interest in the Service, in all languages, formats and media throughout the world, including all copyrights, are and will continue to be the property of the Provider.
(4) Additional Terms. Certain types of Information resources may be governed by terms and conditions, including charges, which are different from those set forth in these Terms and Conditions ("Additional Terms"). By using Information resources governed by the Additional Terms, the Subscriber agrees to, and shall comply with, all such Additional Terms as well as the provisions in these Terms and Conditions. All Additional Terms shall be considered an integral part of these Terms and Conditions.
(5) Intellectual property. The Subscriber has no right to use and shall not use without the advance written consent of the Provider its names, marks, logos, designs, trade names, copyright materials, trademarks or service marks owned by the Provider: (i) in whatever advertisement, publication, web site or promotion material; or (ii) otherwise which contradicts to the terms of this Terms and Conditions. For the avoidance of doubt, all intellectual rights granted to the Subscriber shall automatically cease upon termination of the Subscriber’s subscription plan.
IV. REGISTRATION AND USER ACCOUNTS
Art. 2 (1) Each subscription account created on seenews.com is personal to the individual subscriber and must not be shared with and/or assigned to third parties. The login credentials (login email and password) created during the registration should be assigned to one person only (e.g. being the Subscriber). Any actions of third parties using a Subscriber’s password and/or login email shall be deemed actions of the Subscriber.
(2) The Subscriber can create a free account via the sign-up (registration) form or a paid account via the subscription forms on the website. He/she creates his/her own password to log in with and fills in professional and geographic details as required by the Service. Upon a user request, the customer support team can create the account and password for the Subscriber and share the details with him/her.
(3) Sharing login credentials with third parties constitutes a breach of these Terms and Conditions.
(4) The Subscriber agrees to immediately notify the Provider in the event of a loss or unauthorised usage of his/her login credentials, or when he/she is aware of a possible or actual unauthorised use of the Service.
(5) seenews.com provides multi-user plans to companies and organisations requiring multiple user accounts. The multi-user plans are subject to specific terms, which are available upon request sent to the Service’s Business Information Consultants at [email protected].
V. FEES
Art. 3. (1) The Subscriber hereby assumes the obligation to pay the Provider the subscription price for the Services he/she has access to with а personal account. Fees for the use of the Service will be billed at then-current rates. The subscription period commences when the Subscriber account is activated by the Provider.
(2) The subscription price is exclusive of sales, value added tax (VAT) and other taxes, bank charges or equivalent, which are the responsibility of the Subscriber. The subscriber shall, where applicable or required by law, pay the subscription price plus any additional taxes and charges, including such as in the preceding sentence but not limited to, calculated at the rate then applicable, to the Provider or any another to whom such payment is due.
(3) All collection fees, including but not limited to attorneys fees, are payable by the Subscriber.
(4) Provider’s fees are non-refundable.
VI. SUBSCRIPTION BILLING AND CANCELLATION
Art 4. (1) А Subscriber's access to the Service and the Information resources it provides is valid for the full duration of the subscription plan selected. At the end of the subscription period, the Subscriber’s account will be automatically rebilled under the terms of the subscription selected or in the event that automatic rebilling shall not be possible, the subscriber shall have to subscribe for a new subscription period so the access to the Services is not suspended.
(2) If the Subscriber wants to cancel the recurring billing, he or she may do that from the “Profile” panel by clicking the “cancel subscription” button any time before the renewal date. Alternatively, the Subscriber may provide a notice to cancel the subscription to [email protected] at least three (3) business days before the renewal date. When cancelled, the Subscriber’s access to the Service will remain active until the expiry of the current subscription period.
VII. ENTRY INTO FORCE. SUSPENSION AND TERMINATION OF ACCESS
Art. 5. These Terms and Conditions become effective for the Subscriber when the Subscriber completes the subscription process on seenews.com and shall continue for the period of his/her subscription plan.
Art. 6 (1) The Provider may suspend access to the Service in the following cases: (i) in case of force majeure circumstances; (ii) in case of technical issues and maintenance; (iii) in case of due fees owed by the Subscriber.
(2) Once the above-mentioned circumstances have passed, access to the Service shall be resumed.
Art. 7. Without prejudice to any other rights of the Provider, the Provider may terminate access to the Service in the following cases: (i) in the event of termination of the Service; (ii) in the event of a Subscriber’s breach of any of the provisions of these Terms and Conditions, including of SeeNews’ acceptable use policy (AUP) but not only, which breach is capable of remedy and was not remedied within seven (7) days of the receipt of a written notice being given by the Provider specifying the breach and requiring its remedy; (iii) immediately on a written notice being given by the Provider to the Subscriber in the event that the Subscriber has committed an irremediable breach of the Terms and Conditions, including of SeeNews’ acceptable use policy (AUP) but not only, or has committed a breach for which the Subscriber has had previously received a notice under item (ii) hereinabove.
VIII. RISKS AND LIMITATION OF RESPONSIBILITY
Art. 8 (1) The Provider will do its best to decrease risks of providing incomplete and inaccurate Service to the Subscriber. The Provider is not responsible for any errors or omissions, for the results obtained from the use of the Service’s information resources by the Subscriber, or for delays or interruptions in the Service. All Information resources provided on the Service by the Provider shall be used in its actual form (“as is”) and there are no express or implied warranties including, without limitation, warranties of merchantability or fitness for a particular investment or commercial purpose or non-intervention with rights of third parties.
(2) The Provider, its agents and employees are not responsible for any direct and indirect damages caused by: (i) any incompleteness and inaccuracies in the Information resources; (ii) delays, interruptions and/or errors in transmission of any part of the Service; (iii) any lost profits or other consequential, exemplary, incidental, indirect or special damages relating in whole or in part to the Subscriber's rights under these Terms and Conditions or use of, or inability to use, Information resources, even if the Provider, its affiliates and/or contributors have been advised of the possibility of such damages; (iv) failure in the electronic equipment, unauthorised access, strikes, system failures, bad weather as well as any other circumstances, which are out of the Provider's control; (v) maintenance, losing or forgetting passwords and usernames.
(3) Subscriber acknowledges that the provision of the Service entails the likelihood of some human and machine errors, delays, interruptions and losses, including the inadvertent loss of data or damage to media.
(4) The sole remedy for Subscribers to the Service in the event of a breach of these Terms and Conditions by the Provider shall be to terminate these Terms and Conditions and obtain a pro-rata refund of any prepaid fees as of the date of termination.
(5) The Subscriber shall be responsible for all additions or amendments in the Information resources provided by the Service, their use, translation, revision or publication after delivery under the terms of these Terms and Conditions.
(6) The provisions of this art. 8 will survive the expiry or any termination of the Subscriber’s subscription plan or end of using the Service.
IX. AMENDMENTS
Art. 9 (1) These Terms and Conditions may not remain the same during the Service lifetime and the Provider may amend them from time to time. Anytime the Provider makes an amendment to these Terms and Conditions the Provider shall notify subscribers via email sent to the registration email of the Subscriber. The latest updated version of these Terms and Conditions shall be published and shall be available to subscribers on seenews.com any time. Subscribers may review anytime the latest version of these Terms and Conditions by clicking the "Terms and Condition" hyperlink in the footer on any SeeNews page.
(2) The Subscriber cannot declare that certain terms and provisions of these Terms and Conditions do not have effect upon him/her. The Subscriber is bound by and shall comply with the latest amendments in the Terms and Conditions from the moment of publication on SeeNews home page.
X. GOVERNING LAW
Art. 10. These Terms and Conditions are governed by, construed and take effect in accordance with the laws applicable in the Republic of Bulgaria. Any dispute or claim arising out of or in connection with the entry into force, implementation, performance or termination of these Terms and Conditions that cannot be amicably resolved by the Subscriber and the Provider shall be brought and resolved solely and exclusively by a court of the competent jurisdiction in the Republic of Bulgaria.
XI. OTHER PROVISIONS
Art. 11. These Terms and Conditions shall apply to all Subscribers from the moment of accessing the Service, regardless of their subscription plan or whether they use the Service free of any fees.
Art. 12. (1) These Terms and Conditions shall form the entire agreement between the Subscriber and the Provider with respect to the right to access and use of the Service and the Information resources it provides. Neither the Terms and Conditions in whole, nor any part of them may be assigned, sublicensed or otherwise transferred by the Subscriber to a third party without the Provider's prior written consent.
(2) If any term or provision of these Terms and Conditions is found to be void, invalid, unenforceable, or illegal, all other terms and provisions of these Terms and Conditions shall remain in full force and effect.
Art. 13 (1) No waiver of a right or remedy under the Agreement is effective unless it is in writing and signed by the Party granting it. It is only effective in the specific instance and for the specific purpose for which it is granted.
(2) A single or partial exercise of a right or remedy under the Agreement does not prevent a further exercise of that or of any other right or remedy. Failure to exercise or a delay in exercising a right or remedy under the Agreement does not operate as a waiver or prevent further exercise of that or of any other right or remedy.
Art. 14. The headings and captions contained in these Terms and Conditions are inserted for convenience only and do not constitute a part of these Terms and Conditions.
Art. 15. The Provider may send and address to the Subscriber any notification related or relevant to the Service by sending an e-mail to the last address given by the Subscriber to the Provider or by posting the notification on the Service home page “Terms and Conditions” section.
Art.16. By accepting these Terms and Conditions, the user agrees to be bound by SeeNews’ acceptable use policy (“AUP”) as follows:
not using the service in violation of any law;
not attempting to disrupt the information security of any computer network;
not attempting to send requests to the site beyond “reasonable human reading” of the nature or aiming to flood the server;
not attempting to infringe any rights to intellectual property;
undertaking to report any attempt to break into their account;
acknowledging that their account may be terminated with immediate effect without any right to a refund if the AUP is violated;
not attempting to crawl or scrape the contents of SeeNews’ website or use it to train bots or artificial intelligence models and acknowledging that the contents of the website maybe blocked for all bots, spiders and other software with the exception of such one for SEO purposes
